Terms of Service

1. Agreement

By creating a FleetRails workspace or using the platform, you agree to these Terms. If you're acting on behalf of a company, you confirm you have authority to bind that company.

2. The Service

FleetRails is a cloud SaaS platform for logistics operations: dispatch, live tracking, warehousing, fleet management, rider payouts, invoicing, analytics, and customer communication. We deliver it over the internet — nothing is installed on your premises.

Each customer gets an isolated workspace: its own subdomain, database schema, team, customers, riders, warehouses, tariffs, and books. Your data never touches another operator's.

3. Plans & Pricing

  • Free — ₦0/month, 2 users, 100 orders/mo, 2 riders
  • Starter — ₦5,000/month (₦50,000/year), 10 users, 1,000 orders/mo, 10 riders
  • Pro — ₦15,000/month (₦150,000/year), 50 users, 10,000 orders/mo, 50 riders

All modules are included on every plan. Prices exclude VAT (added on invoices where applicable). Annual plans are billed upfront — two months free vs monthly.

We may change prices with 30 days' notice. Existing annual commitments honor the rate for their term.

4. Billing & Payment

  • Billed in NGN via our payment provider (card, bank transfer, USSD).
  • Invoices issued monthly (or annually) — due on receipt.
  • Overdue accounts: 7-day grace, then workspace is read-only until paid.
  • No refunds for partial months. Cancel anytime — you keep access until the period ends.

5. Your Responsibilities

  • Keep your workspace credentials secure. Use 2FA (available in settings).
  • Ensure your team's use complies with Nigerian law and these Terms.
  • You own the data you put into FleetRails (customers, shipments, inventory, riders, financials).
  • You are responsible for the accuracy of data you enter and messages you send via FleetRails (WhatsApp, SMS, email).
  • Do not use FleetRails for illegal activities, spam, fraud, or to ship prohibited items.

6. Acceptable Use

You may not:

  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or sublicense FleetRails (contact us for partner/reseller terms)
  • Scrape, crawl, or bulk-extract data except via your own API keys
  • Interfere with platform integrity (load testing, DoS, vulnerability scanning without permission)
  • Send unsolicited commercial messages via FleetRails' communication channels

7. Intellectual Property

  • We own all rights to the FleetRails platform, brand, and software.
  • You grant us a limited licence to host, process, and transmit your data solely to provide the service.
  • No licence is granted to our trademarks, logos, or brand assets.
  • Feedback you send us (ideas, bugs, suggestions) is ours to use freely.

8. Data & Privacy

Your data is governed by our Privacy Policy. Key points:

  • You control your data — export anytime (CSV/JSON/API).
  • We don't sell your data. Ever.
  • On cancellation, 30-day grace period then hard delete (backups purged within 90 days).
  • Billing records retained 7 years per Nigerian tax law.

9. Uptime & Support

  • Target: 99.9% monthly uptime (excluding scheduled maintenance windows, published 7 days ahead).
  • Support: support@fleetrails.com — business hours WAT, 1 business day SLA for paid plans.
  • Status page: status.fleetrails.com (real-time incident updates).

No SLA on Free plan. Pro/Starter: see SLA page for credits.

10. Limitation of Liability

To the maximum extent permitted by law:

  • FleetRails is provided "as is" — no warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We are not liable for indirect, incidental, special, or consequential damages (lost profits, data loss, business interruption).
  • Our total liability for any claim shall not exceed the fees you paid in the 12 months before the claim.

11. Indemnification

You'll defend and indemnify us against claims arising from: your data, your use of the platform, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

  • You may cancel anytime in Settings → Billing. Access continues until the period ends.
  • We may suspend/terminate for: non-payment (after 7 days overdue), material breach (uncured for 14 days), illegal use, or security risk.
  • On termination: export your data, then we delete per the retention schedule.

13. Force Majeure

Neither party is liable for failures caused by events beyond reasonable control (natural disasters, war, strikes, government action, internet infrastructure failures).

14. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes resolved in the courts of Lagos State. We encourage good-faith negotiation first.

15. Changes

We may update these Terms. Material changes get 30 days' notice via email and in-app banner. Continued use after notice = acceptance.
